An AI governance policy is a foundational document for EU AI Act compliance — but most enterprise policies are either too high-level to drive actual compliance or too system-specific to function as enterprise policy. 3. Policy Scope and Applicability Framework

The scope section is where most enterprise AI policies fail. Scope clauses that read as "this policy applies to all AI systems used by the organization" are legally insufficient — they leave unresolved questions about what counts as an AI system, whether it includes third-party tools accessed via APIs, and whether subsidiaries in non-EU jurisdictions are covered.

A robust scope clause must specify:

  • Definition of AI system: Reference the EU AI Act definition in Article 3(1) — a machine-based system that infers from inputs how to generate outputs such as predictions, recommendations, or decisions that influence real or virtual environments.
  • Coverage of third-party AI: Explicitly include AI systems accessed through API integrations, AI features within SaaS platforms, and AI components in data analytics tools.
  • Geographic scope: Cover all legal entities that place AI systems on the EU market or deploy them to EU-based users, regardless of where the legal entity is headquartered.
  • Exclusions: Document any explicit exclusions (e.g., pure rule-based systems, traditional statistical models) with the rationale for why they fall outside the EU AI Act's definition.

4. Governance Roles: Chief AI Officer, AI Risk Committee, DPO

Chief AI Officer (CAIO)

The CAIO is the senior executive accountable for the organization's AI governance program. Key responsibilities include: owning the AI governance policy, chairing or co-chairing the AI Risk Committee, signing off on the AI system inventory, approving high-risk AI system deployments, and serving as the primary point of contact for market surveillance authorities during inspections.

Organizations without a dedicated CAIO should designate an existing C-level executive (typically the CRO, CTO, or CLO) with explicit CAIO responsibilities. This designation must be documented and communicated to all relevant staff.

AI Risk Committee

5. Prohibited Use Cases (Article 5 Alignment)

Article 5 of the EU AI Act came into force in February 2025 and establishes an absolute prohibition on specific AI applications. The governance policy must include an explicit list of prohibited use cases, reviewed at least quarterly as regulatory guidance evolves.

Subliminal manipulation

AI systems that deploy subliminal techniques beyond a person's consciousness to materially distort behavior in a way that causes or is likely to cause harm.

Vulnerability exploitation

AI that exploits vulnerabilities of specific groups — age, disability, social or economic situation — to distort behavior causing harm.

Social scoring

AI systems by public authorities (or on their behalf) that evaluate or classify people based on social behavior or personal characteristics leading to detrimental treatment.

Predictive policing

AI used to assess the risk of a person committing a criminal offence based solely on profiling or personality trait assessment.

Facial recognition databases

Untargeted scraping of facial images from the internet or CCTV footage to create or expand facial recognition databases.

Emotion recognition (workplace/education)

AI systems that infer emotions of natural persons in the workplace and in educational institutions, except for medical or safety purposes.

Biometric categorization (sensitive attributes)

AI that categorizes people based on biometric data to deduce race, political opinions, trade union membership, religious or philosophical beliefs, or sexual orientation.

Real-time biometric identification (public spaces)

Real-time remote biometric identification systems in publicly accessible spaces for law enforcement — except in the narrow exceptions defined in Article 5(1)(h).

Organizations should extend this list with internally prohibited use cases where additional caution is warranted — for example, AI in performance management, credit decisions without human review, or automated content moderation decisions with material consequences.

6. Approval and Review Cycle Requirements

The review cycle must be built into the policy itself — organizations that treat "annual review" as a calendar reminder rather than a structured process consistently fail to maintain policy currency as the regulatory environment evolves.

The following review triggers should be explicitly named in the policy:

  • Annual scheduled review: Full policy review by the AI Risk Committee, resulting in formal approval or amendment. Signed by the CAIO and documented in the governance register.
  • Regulatory trigger: Any new EU AI Act delegated act, harmonized standard, European AI Office guidance, or national supervisory authority guidance triggers review of affected sections within 30 days.
  • Material incident trigger: Any serious AI-related incident triggers review of the incident response section and any relevant prohibited use case or oversight provisions within 14 days of incident closure.
  • Material organizational change: Mergers, acquisitions, or significant new AI system deployments trigger review of scope and role sections within 60 days.
